Anthropic is preparing to publicly file its IPO prospectus as soon as the end of August 2026, moving one step closer to what could be the largest AI listing on record. The company already has a confidential draft S-1 on file with the SEC, and a public filing would open the door to a roadshow within weeks.

What is happening

On June 1, 2026, Anthropic confidentially submitted a draft registration statement on Form S-1 to the SEC for a proposed initial public offering, giving it the option to go public after the SEC completes its review, with timing dependent on market conditions.

A confidential prospectus does not lock Anthropic into a specific timeframe, but the official prospectus must land with investors at least 15 days before the roadshow begins. A late-August public filing would line up a potential roadshow in mid-September.

Why the timing matters

SpaceX submitted its confidential filing on April 1 and disclosed its public prospectus on May 20, a roughly seven-week gap. Anthropic moving from a June 1 confidential draft to an end-of-August public filing would put it on a similar, deliberate cadence.

The move also puts Anthropic ahead of rival OpenAI, which is readying its own confidential filing.

The valuation backdrop

Anthropic closed a funding round at a $965 billion valuation, topping OpenAI, which was valued at $852 billion in late 2025. The company has experienced explosive growth this year, announcing in May that its revenue run rate has ballooned to $47 billion, up from $10 billion in annual revenue last year.

The run rate reached $65 billion at the end of July, landing just under the $69B to $74B third-party trackers had estimated, consistent with the company tightening its ARR definition ahead of a listing.

What the S-1 could reveal

A public S-1 would provide the first broad look at Anthropic’s audited financial statements, risk factors, ownership structure, governance terms and business disclosures, and a later amendment before the roadshow would clarify the proposed share count and price range.

Q2 landed above $11.5B with a first operating profit of $559M, beating the $10.9B projection shared with Series H investors. Traders will be watching gross margin, compute commitments and customer concentration disclosures closely.

Options market and stocks to watch

GOOGL: Alphabet holds a major Anthropic stake and stands to mark up that position on any public print.

AMZN: Amazon is Anthropic’s primary cloud partner and a large investor; watch for reaction on any disclosed compute commitments.

CRM: Salesforce’s Anthropic stake was worth about $5 billion in June 2026; a public filing would mark that position to a fresh reference price.

NVDA: Any Anthropic prospectus will disclose compute spend and supplier exposure, which flows straight back to the AI chip trade.

MSFT: As OpenAI’s largest backer, Microsoft is the direct comp; watch for read-through as OpenAI readies its own filing.
