Elon Musk has filed a Schedule 13G with the SEC disclosing beneficial ownership of roughly 6.42 billion shares of SpaceX, giving him a 48.4% stake in the newly public rockets-and-AI giant.
SPCX trades on the Nasdaq after its record-breaking June IPO, and Musk’s filing puts hard numbers on just how much of the company he still controls post-listing.
What the filing shows
Musk held a 48.4% stake in SpaceX as of June 30, a regulatory filing showed on Thursday, valuing his holding at more than $900 billion at current market prices.
His reported holdings include 849,494,440 Class A shares and 3,916,980,790 Class B shares held by trusts, plus 1,302,072,285 restricted Class B shares and 350,000,000 Class B options. Each Class B share is convertible into one Class A share.
Musk said his fully vested ownership stake is lower because many of his shares carry demanding performance conditions.
Voting control is the real story
He has held more than 82% of SpaceX’s voting power since the IPO, emphasizing the extent of his sway over the company.
Class A shares provide one vote per share, while Class B shares provide 10 votes per share, significantly concentrating voting control. Translation for public shareholders: economic exposure, minimal governance say.

Lockup expired, stock rallied anyway
Wall Street had braced for heavy selling when the company’s largest lockup expired on Aug. 6, freeing 911.5 million shares, which is more than the number sold in its record IPO. Instead, the stock rallied 35% over the following five sessions.
